Restrictions on Management Interference in Evaluation
평가기관이 회사의 형태로 운영되는 경우 경영진은 조직·인사·재정·사업운영 등에 관한 책임과 권한을 가진다. 그러나 이러한 경영상의 권한이 개별 평가에 관한 전문적 판단에까지 영향을 미치게 되면 평가의 독립성과 공정성에 대한 신뢰가 훼손될 수 있다. 따라서 정상적인 경영권의 행사와 개별 평가에 대한 전문적 판단의 영역을 명확하게 구분하는 것이 필요하다.
Where an evaluation institution operates as a company, management has responsibilities and authority concerning organization, personnel, finance, business operations, and related matters. However, if such management authority extends to professional judgments concerning individual evaluations, confidence in the Independence and Fairness of Evaluation may be compromised. It is therefore necessary to clearly distinguish the exercise of legitimate management authority from the sphere of professional judgment concerning individual evaluations.
SEC(Sustainable Enterprise Evaluation Commission)는 경영진의 정당한 경영권을 존중하는 동시에, 개별 평가에 관한 전문적 판단이 경영상의 이해관계나 부당한 지시·압력으로부터 독립적으로 이루어지도록 경영진의 평가 개입을 제한한다.
SEC (Sustainable Enterprise Evaluation Commission) respects the legitimate authority of management while restricting management interference in evaluation to ensure that professional judgments concerning individual evaluations are made independently of management interests or undue instructions and pressure.
Ⅰ. 경영진의 역할과 책임
I. Roles and Responsibilities of Management
경영진은 SEC의 정상적인 운영과 지속적인 발전을 위하여 조직·인사·재정·사업계획 및 업무환경 등 회사 경영에 필요한 사항을 관리한다.
Management oversees matters necessary for the normal operation and continued development of SEC, including organization, personnel, finance, business planning, and the working environment.
경영진은 평가업무가 안정적이고 전문적으로 수행될 수 있도록 필요한 조직적·행정적 기반과 인적·재정적 자원을 지원하고 관련 제도와 업무환경을 마련한다.
Management provides the organizational and administrative foundation and the human and financial resources necessary for evaluation activities to be conducted in a stable and professional manner and establishes relevant systems and working conditions.
이러한 경영지원은 평가업무의 안정적인 수행을 위한 것으로, 개별 평가에 관한 전문적 판단에 개입하기 위한 권한을 의미하지 않는다.
Such management support is intended to facilitate the stable performance of evaluation activities and does not constitute authority to interfere with professional judgments concerning individual evaluations.
Ⅱ. 개별 평가에 대한 개입 제한
II. Restrictions on Interference in Individual Evaluations
경영진은 정당한 평가절차를 벗어나 특정 평가대상에 대한 평가판단·평가결과·평가등급 또는 인증결정을 유리하거나 불리하게 변경하도록 지시하거나 요구해서는 안 된다.
Management must not, outside legitimate evaluation procedures, direct or require evaluation judgments, evaluation results, Ratings, or Certification decisions concerning a particular evaluation subject to be changed favorably or unfavorably.
경영상의 이해, 사업관계, 거래관계, 재정적 기여 또는 기타 이해관계를 이유로 특정한 평가결과·평가등급 또는 인증결정을 요구해서는 안 된다.
Management must not demand a particular evaluation result, Rating, or Certification decision on the basis of management interests, business relationships, transactional relationships, financial contributions, or other interests.
경영진은 평가위원장, 평가위원 또는 평가업무 수행자에게 정당한 절차를 벗어나 특정한 평가판단이나 결론을 요구하거나 이에 대한 부당한 압력을 행사해서는 안 된다.
Management must not require the Chair of the Evaluation Committee, Evaluation Committee members, or persons engaged in evaluation activities to reach a particular evaluation judgment or conclusion outside legitimate procedures or exert undue pressure upon them.
Ⅲ. 경영지원과 평가 개입의 구분
III. Distinction between Management Support and Evaluation Interference
경영진이 평가업무의 운영상황을 확인하고 필요한 조직·인력·재정·정보시스템 및 업무환경을 지원하는 것은 그 자체로 개별 평가에 대한 개입을 의미하지 않는다.
Management’s review of the operational status of evaluation activities and provision of necessary organizational, human, financial, information-system, and operational support do not, in themselves, constitute interference in individual evaluations.
평가제도의 안정적인 운영과 개선을 위한 일반적인 정책·조직·행정상의 의사결정 역시 특정 평가대상에 대한 전문적 판단을 부당하게 변경하기 위한 것이 아닌 경우 평가 개입으로 보지 않는다.
General policy, organizational, and administrative decisions for the stable operation and improvement of the evaluation system are likewise not regarded as evaluation interference where they are not intended to improperly alter professional judgments concerning a particular evaluation subject.
평가과정에서 정해진 권한과 절차에 따라 이루어지는 보고·검토·확인 역시 전문적 평가판단을 특정 방향으로 변경하기 위한 것이 아닌 경우 부당한 개입으로 보지 않는다.
Reporting, review, and verification conducted in accordance with established authority and procedures during the evaluation process are not regarded as improper interference where they are not intended to alter professional evaluation judgments in a particular direction.
Ⅳ. 평가위원회와 평가위원장의 독립성 존중
IV. Respect for the Independence of the Evaluation Committee and Its Chair
경영진은 평가위원회와 평가위원장이 정해진 권한과 책임에 따라 개별 평가에 관한 전문적인 검토와 심의를 수행할 수 있도록 그 독립성을 존중한다.
Management respects the independence of the Evaluation Committee and its Chair so that they can conduct professional review and deliberation concerning individual evaluations in accordance with their established authority and responsibilities.
평가위원회 내부에서 이루어지는 전문적인 의견교환, 검토 및 심의는 정해진 평가절차에 따라 이루어지며, 경영진은 이러한 전문적 판단과정에 부당하게 개입해서는 안 된다.
Professional exchanges of views, review, and deliberation within the Evaluation Committee are conducted in accordance with established evaluation procedures, and management must not improperly interfere with this professional judgment process.
평가위원회의 전문적 판단과 경영진의 의견이 서로 다른 경우에도 그 차이 자체를 이유로 평가위원회의 판단을 임의로 변경하도록 요구해서는 안 된다.
Even where the professional judgment of the Evaluation Committee differs from the views of management, management must not require the Committee’s judgment to be arbitrarily changed merely because of that difference.
Ⅴ. 경제적·사업적 이해관계에 따른 개입 제한
V. Restrictions on Interference Based on Economic or Business Interests
SEC와 평가대상 사이에 경제적·사업적 관계가 존재하거나 평가대상이 SEC에 재정적으로 기여하였다는 사실은 그 자체로 경영진이 개별 평가에 개입할 수 있는 근거가 될 수 없다.
The existence of an economic or business relationship between SEC and an evaluation subject, or the fact that an evaluation subject has made a financial contribution to SEC, does not, in itself, provide a basis for management to interfere in an individual evaluation.
경제적·사업적 관계의 유지·확대 또는 기타 경영상의 이익을 목적으로 특정 평가대상에 대한 평가판단·평가결과·평가등급 또는 인증결정을 유리하게 변경하도록 요구해서는 안 된다.
Management must not require evaluation judgments, evaluation results, Ratings, or Certification decisions concerning a particular evaluation subject to be changed favorably for the purpose of maintaining or expanding an economic or business relationship or securing other management interests.
반대로 경제적·사업적 관계가 없거나 경영상의 이해가 일치하지 않는다는 이유로 특정 평가대상에 불리한 평가를 요구해서도 안 된다.
Conversely, management must not demand unfavorable treatment of a particular evaluation subject because no economic or business relationship exists or because management interests do not align.
Ⅵ. 부당한 개입이 확인된 경우의 대응
VI. Response to Improper Management Interference
경영진의 지시·요구 또는 기타 행위가 평가의 독립성이나 공정성을 훼손할 우려가 있는 경우 평가위원장, 평가위원 및 평가업무 수행자는 이를 전문적 평가판단에 반영해서는 안 된다.
Where an instruction, request, or other action by management may compromise the Independence or Fairness of Evaluation, the Chair of the Evaluation Committee, Evaluation Committee members, and persons engaged in evaluation activities must not reflect it in their professional evaluation judgments.
부당한 개입이 확인된 경우에는 그 성격과 정도 및 해당 평가업무에 미칠 수 있는 영향을 검토하고, 필요한 경우 업무분리, 정보차단, 접근권한 제한, 업무 재배정 등 적절한 조치를 적용한다.
Where improper interference is identified, its nature and extent and its potential impact on the relevant evaluation activities are reviewed, and appropriate measures are applied where necessary, including separation of duties, information barriers, restrictions on access, and reassignment of responsibilities.
부당한 개입으로 인해 평가과정이나 평가판단에 영향을 미쳤을 가능성이 확인된 경우에는 객관적인 자료와 검증 가능한 정보를 바탕으로 정해진 절차에 따라 필요한 검토와 확인을 실시한다.
Where it is identified that improper interference may have affected the evaluation process or evaluation judgment, necessary review and verification are conducted in accordance with established procedures on the basis of objective data and verifiable information.
Ⅶ. 경영권과 평가 독립성의 조화
VII. Balance between Management Authority and Evaluation Independence
경영진의 평가 개입 제한은 회사의 정상적인 경영권을 제한하거나 경영진과 평가조직 사이의 필요한 업무협력을 차단하기 위한 것이 아니다.
Restrictions on management interference in evaluation are not intended to limit the company’s legitimate management authority or prevent necessary operational cooperation between management and the evaluation function.
그 목적은 경영과 평가의 권한과 책임을 명확히 구분하여 경영진은 평가업무가 안정적으로 수행될 수 있는 기반을 지원하고, 평가위원회와 평가업무 수행자는 개별 평가에 관한 전문적 판단의 독립성을 유지하도록 하는 데 있다.
The purpose is to clearly distinguish the authority and responsibilities of management and evaluation so that management supports the foundation necessary for stable evaluation activities, while the Evaluation Committee and persons engaged in evaluation activities maintain the independence of professional judgments concerning individual evaluations.
SEC는 이러한 역할 구분을 통해 정상적인 회사 경영과 평가의 전문적 독립성이 조화를 이루고, 개별 평가결과가 경영상의 이해관계가 아니라 객관적인 자료와 검증 가능한 정보 및 정해진 평가원칙과 절차에 따라 도출되도록 한다.
Through this separation of roles, SEC ensures that normal corporate management and the professional Independence of Evaluation function in balance and that individual evaluation results are derived not from management interests but from objective data, verifiable information, and established evaluation principles and procedures.
