제1장 총칙
Chapter 1. General Provisions
제1조 목적
Article 1. Purpose
본 규정은 SEC(Sustainable Enterprise Evaluation Commission)의 평가 및 인증활동 과정에서 발생할 수 있는 이해상충을 예방·관리함으로써 평가와 인증의 독립성, 객관성, 공정성 및 투명성을 확보함을 목적으로 한다.
These Regulations are intended to prevent and manage conflicts of interest that may arise during SEC evaluation and certification activities and thereby ensure independence, objectivity, fairness, and transparency.
제2조(적용범위)
Article 2 (Scope of Application)
본 규정은 다음 각 호의 자에게 적용한다.
These Regulations shall apply to the following persons:
① 평가위원
Evaluation Committee Members
② 인증심의위원
Certification Review Committee Members
③ 평가 관련 업무 담당자
Personnel Engaged in Evaluation Activities
④ 인증 관련 업무 담당자
Personnel Engaged in Certification Activities
⑤ 그 밖에 SEC의 평가 또는 인증 관련 업무에 참여하는 자
Other Persons Participating in SEC Evaluation or Certification Activities
제3조(기본원칙)
Article 3 (Fundamental Principles)
① 평가 및 인증 관련자는 이해상충이 발생하거나 발생할 우려가 있는 경우 이를 신고하고 회피하여야 한다.
Personnel involved in evaluation or certification activities shall disclose and avoid any actual or potential conflicts of interest.
② SEC는 이해상충의 예방과 관리를 통하여 평가와 인증의 독립성과 공정성을 확보하여야 한다.
SEC shall ensure the independence and fairness of evaluation and certification activities through the prevention and management of conflicts of interest.
제4조(정의)
Article 4 (Definitions)
본 규정에서 사용하는 용어의 뜻은 다음과 같다.
The terms used in these Regulations shall have the following meanings:
① “이해상충(Conflict of Interest)”이란 개인적, 경제적, 직업적 또는 그 밖의 이해관계가 평가 또는 인증업무에 영향을 미치거나 영향을 미칠 우려가 있거나, 합리적으로 그러한 영향을 미칠 수 있다고 인식될 수 있는 상태를 말한다.
“Conflict of Interest” means a situation in which personal, financial, professional, or other interests influence, may influence, or may reasonably be perceived to influence evaluation or certification activities.
② “회피(Recusal)”란 이해상충이 있는 자가 해당 평가 또는 인증 관련 업무에서 제외되는 것을 말한다.
“Recusal” means the withdrawal or exclusion of a person from participation in evaluation or certification activities due to an actual or potential conflict of interest.
③ “이해관계자(Interested Party)”란 평가 또는 인증결과에 직접적 또는 간접적 이해관계를 가지는 자를 말한다.
“Interested Party” means a person or entity having a direct or indirect interest in evaluation or certification outcomes.
제2장 이해상충의 유형
Chapter 2. Types of Conflicts of Interest
제5조(경제적 이해상충)
Article 5 (Financial Conflicts of Interest)
다음 각 호의 어느 하나에 해당하는 경우 경제적 이해상충으로 본다.
The following circumstances shall constitute financial conflicts of interest:
① 평가대상의 주식, 채권 또는 그 밖의 금융상품을 보유한 경우
Ownership of shares, bonds, or other financial instruments issued by an Evaluated Organization.
② 평가대상으로부터 금전적 이익을 제공받은 경우
Receipt of financial benefits from an Evaluated Organization.
③ 그 밖에 경제적 이해관계가 인정되는 경우
Any other circumstance involving a financial interest.
제6조(직업적 이해상충)
Article 6 (Professional Conflicts of Interest)
다음 각 호의 어느 하나에 해당하는 경우 직업적 이해상충으로 본다.
The following circumstances shall constitute professional conflicts of interest:
① 평가대상의 임직원으로 재직 중인 경우
Current employment with an Evaluated Organization.
② 평가대상과 고문 또는 자문계약 관계가 있는 경우
An advisory or consulting relationship with an Evaluated Organization.
③ 최근 3년 이내에 평가대상에서 근무하였거나 계약관계가 있었던 경우
Employment with or a contractual relationship with an Evaluated Organization within the preceding three (3) years.
제7조(친족관계 등 이해상충)
Article 7 (Family and Personal Relationship Conflicts of Interest)
평가 또는 인증대상의 임직원과 친족관계 등 평가 또는 인증의 공정한 판단에 영향을 미칠 수 있는 개인적 관계가 있는 경우 이해상충으로 볼 수 있다.
A family or other personal relationship with an officer or employee of an Evaluated Organization that may affect impartial judgment in evaluation or certification may constitute a conflict of interest.
제8조(기타 이해상충)
Article 8 (Other Conflicts of Interest)
SEC는 평가 또는 인증의 독립성이나 공정성을 저해하거나 저해할 우려가 있는 그 밖의 이해관계가 있는 경우 이를 이해상충으로 판단할 수 있다.
SEC may determine other interests or circumstances to constitute a conflict of interest where they impair or may impair the independence or fairness of evaluation or certification activities.
제3장 신고 및 회피
Chapter 3. Disclosure and Recusal
제9조(이해상충 신고의무)
Article 9 (Duty to Disclose Conflicts of Interest)
평가 또는 인증 관련자는 이해상충이 발생하거나 발생할 우려가 있는 경우 이를 즉시 SEC에 신고하여야 한다.
Personnel involved in evaluation or certification activities shall immediately disclose to SEC any actual or potential conflict of interest.
제10조(회피의무)
Article 10 (Duty of Recusal)
이해상충이 인정되는 경우 해당자는 관련 평가 또는 인증심사에 참여할 수 없다.
Where a conflict of interest exists, the individual concerned shall not participate in the relevant evaluation or certification review.
제11조(직권회피)
Article 11 (Administrative Recusal)
SEC는 평가 또는 인증의 독립성과 공정성을 위하여 필요하다고 인정하는 경우 직권으로 해당자를 관련 업무에서 회피시킬 수 있다.
SEC may require an individual to recuse from relevant activities where necessary to ensure the independence and fairness of evaluation or certification activities.
제12조(회피결정)
Article 12 (Recusal Determination)
이해상충 여부 및 회피에 관한 사항은 평가위원회 또는 인증심의위원회가 심의할 수 있다.
The Evaluation Committee or Certification Review Committee may deliberate on conflict-of-interest determinations and matters concerning recusal.
제13조(이해상충 기록관리)
Article 13 (Conflict-of-Interest Records)
SEC는 이해상충 신고, 심의 및 회피결정에 관한 사항을 기록·관리하여야 한다.
SEC shall maintain records of conflict-of-interest disclosures, deliberations, and recusal decisions.
제4장 평가위원 및 인증심의위원의 독립성
Chapter 4. Independence of Evaluation Committee and Certification Review Committee Members
제14조(독립적 직무수행)
Article 14 (Independent Performance of Duties)
평가위원 및 인증심의위원은 외부의 부당한 영향 없이 독립적으로 직무를 수행하여야 한다.
Evaluation Committee Members and Certification Review Committee Members shall perform their duties independently and free from improper external influence.
제15조(부당한 영향력의 금지)
Article 15 (Prohibition of Improper Influence)
누구든지 평가결과, SEC WFSRI Rating 또는 SEC ESG 인증 결정에 영향을 미칠 목적으로 평가위원 또는 인증심의위원에게 부당한 영향력을 행사하여서는 아니 된다.
No person shall exert improper influence upon Evaluation Committee Members or Certification Review Committee Members for the purpose of affecting evaluation results, SEC WFSRI Ratings, or SEC ESG Certification decisions.
제16조(평가위원 신원 비공개 원칙)
Article 16 (Non-Disclosure of Evaluation Committee Members’ Identities)
SEC는 평가위원에 대한 외부 압력, 로비 및 이해관계자의 영향력 행사를 방지하고 평가의 독립성과 공정성을 보호하기 위하여 개별 평가위원의 신원을 공개하지 아니한다.
SEC shall not disclose the identities of individual Evaluation Committee Members in order to prevent external pressure, lobbying, or influence by interested parties and to protect the independence and fairness of evaluations.
다만, 평가위원장은 공개할 수 있다.
However, the Chairperson of the Evaluation Committee may be publicly disclosed.
제17조(인증심의위원 신원 비공개 원칙)
Article 17 (Non-Disclosure of Certification Review Committee Members’ Identities)
SEC는 인증심의위원에 대한 외부 압력, 로비 및 이해관계자의 영향력 행사를 방지하고 인증의 독립성과 공정성을 보호하기 위하여 개별 인증심의위원의 신원을 공개하지 아니한다.
SEC shall not disclose the identities of individual Certification Review Committee Members in order to prevent external pressure, lobbying, or influence by interested parties and to protect the independence and fairness of certification activities.
다만, 인증심의위원회 위원장은 공개할 수 있다.
However, the Chairperson of the Certification Review Committee may be publicly disclosed.
제5장 경제적 독립성
Chapter 5. Financial Independence
제18조(경제적 독립성 원칙)
Article 18 (Principle of Financial Independence)
SEC는 평가 및 인증의 독립성과 공정성을 확보하기 위하여 경제적 독립성(Financial Independence) 원칙을 적용한다.
SEC shall apply the principle of Financial Independence in order to ensure the independence and fairness of evaluation and certification activities.
제19조(재정적 기여와 평가의 독립성)
Article 19 (Financial Contributions and Evaluation Independence)
평가대상의 재정적 기여 여부는 평가결과, SEC WFSRI Rating 또는 SEC ESG 인증에 어떠한 영향도 미쳐서는 아니 된다.
Whether an Evaluated Organization makes any financial contribution shall not influence evaluation results, SEC WFSRI Ratings, or SEC ESG Certification in any manner.
제20조(금품수수 금지)
Article 20 (Prohibition of Acceptance of Benefits)
평가 및 인증 관련자는 평가대상으로부터 금품, 향응, 편의 또는 그 밖의 경제적 이익을 제공받거나 요구하여서는 아니 된다.
Personnel involved in evaluation and certification activities shall neither accept nor solicit money, gifts, hospitality, favors, or other economic benefits from Evaluated Organizations.
제21조(경제적 독립성 확보)
Article 21 (Ensuring Financial Independence)
① SEC 및 평가·인증 관련자는 평가의 독립성과 공정성을 확보하기 위하여 평가대상으로부터 평가비, 심사비, 인증비 또는 평가·인증의 대가로 제공되는 그 밖의 경제적 이익을 받지 아니한다.
SEC and personnel involved in evaluation and certification activities shall not accept evaluation fees, review fees, certification fees, or other economic benefits provided in consideration for evaluation or certification from Evaluated Organizations, in order to ensure the independence and fairness of evaluations.
② 평가대상으로부터 제공되는 후원금 또는 그 밖의 재정적 지원은 평가 및 인증 업무와 명확히 분리되어야 하며, 평가결과, SEC WFSRI Rating, SEC ESG 인증 또는 평가·인증 관련 의사결정에 어떠한 영향도 미쳐서는 아니 된다.
Any sponsorship or other financial support provided by an Evaluated Organization shall be clearly separated from evaluation and certification activities and shall not influence evaluation results, SEC WFSRI Ratings, SEC ESG Certification, or any evaluation- or certification-related decision in any manner.
제6장 관리 및 감독
Chapter 6. Administration and Oversight
제22조(이해상충 관리)
Article 22 (Conflict-of-Interest Management)
SEC는 이해상충의 발생 여부를 지속적으로 점검하고 관리하여야 한다.
SEC shall continuously monitor and manage actual or potential conflicts of interest.
제23조(교육 및 예방)
Article 23 (Education and Prevention)
SEC는 이해상충의 예방 및 적절한 관리를 위하여 필요한 교육과 안내를 실시할 수 있다.
SEC may provide education and guidance necessary for the prevention and appropriate management of conflicts of interest.
제24조(정기점검)
Article 24 (Periodic Review)
SEC는 이해상충 관리체계의 적정성과 운영상황을 정기적으로 점검할 수 있다.
SEC may periodically review the adequacy and operation of its conflict-of-interest management system.
제7장 위반조치
Chapter 7. Measures for Violations
제25조(위반신고)
Article 25 (Reporting Violations)
누구든지 본 규정의 위반 사실을 SEC에 신고할 수 있다.
Any person may report to SEC an alleged violation of these Regulations.
제26조(조사 및 소명)
Article 26 (Investigation and Opportunity to Respond)
SEC는 본 규정의 위반 여부를 조사할 수 있으며, 위반에 따른 조치를 결정하기 전에 조사대상자에게 의견을 제출하거나 소명할 기회를 부여하여야 한다.
SEC may investigate alleged violations of these Regulations and, before determining measures in response to a violation, shall provide the subject of the investigation with an opportunity to submit comments or explanations.
제27조(조치)
Article 27 (Measures)
SEC는 위반의 내용, 정도 및 관련 사정을 고려하여 위반자에 대하여 다음 각 호의 조치를 취할 수 있다.
SEC may take any of the following measures against a person who has violated these Regulations, taking into consideration the nature and severity of the violation and relevant circumstances:
① 경고
Warning
② 평가 또는 인증업무 배제
Removal from Evaluation or Certification Activities
③ 해촉
Dismissal from Committee Membership
④ 자격제한
Restriction of Qualifications
⑤ 그 밖에 위반의 정도와 성격에 따라 필요하다고 인정되는 조치
Other measures deemed necessary in consideration of the nature and severity of the violation
제8장 다른 규정과의 관계
Chapter 8. Relationship with Other Regulations
제28조(SEC 평가윤리규정과의 관계)
Article 28 (Relationship with the SEC Evaluation Ethics Regulations)
평가 및 인증윤리에 관한 사항은 「SEC 평가윤리규정」과 함께 적용한다.
Matters concerning evaluation and certification ethics shall be governed in conjunction with the SEC Evaluation Ethics Regulations.
제29조(평가 거버넌스 체계)
Article 29 (Evaluation Governance Framework)
본 규정은 SEC 평가 거버넌스 체계(SEC Evaluation Governance Framework)의 구성 규정으로 운영한다.
These Regulations shall operate as a constituent regulation of the SEC Evaluation Governance Framework.
부칙
Supplementary Provisions
제1조(시행일)
Article 1 (Effective Date)
본 규정은 2026년 1월 1일부터 시행한다.
These Regulations shall take effect on January 1, 2026.
제2조(적용)
Article 2 (Application)
본 규정은 SEC가 실시하는 기업·공공기관 ESG·WFSRI 평가 및 이와 연계한 SEC ESG 인증 관련 업무에 적용한다.
These Regulations shall apply to activities related to the SEC ESG·WFSRI Evaluation for Corporations and Public Institutions and the associated SEC ESG Certification.
제3조(규정의 개정)
Article 3 (Amendment)
본 규정의 개정은 평가위원회의 심의·의결을 거쳐 시행한다.
Any amendment to these Regulations shall be adopted through deliberation and resolution by the Evaluation Committee.
